Service Terms & Conditions

Agreement

This Agreement governs the relationship between Virtual Walkthrough Ltd (“Service Provider”) and the buyer of services (“Client”). By using any services offered by the Service Provider, the Client agrees to abide by the terms and conditions detailed here. Clients are responsible for reviewing and understanding these terms before using the services. Any changes to this agreement must be made in writing and signed by all involved parties.
Clients engaging in services such as a Matterport Virtual Tour, Google Street View Tour, or other services in collaboration with third-party companies are also bound by the terms and conditions of those third parties.
In the event that any provision of these Terms and Conditions is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect. Accepting an estimate or commissioning work from the Service Provider constitutes agreement to these Terms and Conditions. All disputes under these terms will be governed by the laws of England and Wales.

Copyright & Licensing

The Service Provider holds copyright over all work produced for the Client and reserves the right to use such work for promotional purposes, unless otherwise agreed in writing.
Upon full payment of the provided invoice, the Client receives a non-exclusive, non-transferable license to use the assets (images, videos, virtual tours) as outlined in the service agreement for purposes like business promotion and internal asset management. The Client is prohibited from reselling or redistributing any content without explicit written permission from the Service Provider.
The Service Provider may include their branding, such as logos, on all produced works, which can appear at specific points like the nadir, unless a different arrangement is specified in writing.
If the Client requests a transfer of work to their personal account, a copyright transfer fee starting at £299 may apply, varying with the size and complexity of the work.

Pricing & Payment Terms

The Service Provider may require a deposit ranging from 20% to 100% of the total project cost before beginning work, based on the project’s scale and complexity. This deposit is non-refundable and secures the initiation of services.
The Client must settle the remaining balance upon completion of the project and receipt of the invoice. Final deliverables will be released after full payment. Accepted payment methods include bank e-transfer, direct debit, and cash.

Cancellation / Rescheduling

A minimum of 24 hours’ notice is required for cancellations or rescheduling, with a minimum charge of £159 applicable. Same-day or on-site cancellations may incur the full cost of the appointment.
The Service Provider reserves the right to cancel services without liability in cases of unforeseen circumstances like adverse weather. The Client will be notified as soon as possible and any deposits will be refunded or alternatively, rescheduled.

Delivery / Archival / Hosting

Delivery Times

Delivery of 360° images, Matterport virtual tours, and Google Virtual Tours typically occurs within 24 to 72 hours post-shoot, subject to project complexity.

Quality Processing and Delivery Methods

360° photos/images are optimised before delivery, and they may be sent via email or cloud storage options like Google Drive or Dropbox upon request.

Hosting

Matterport Virtual Tours are hosted on the Service Provider’s account for three months post-delivery, with extended hosting available for a monthly fee. Google Virtual Tours are hosted on the Service Provider’s Google account, with options for the Client to manage the upload or transfer for an additional fee.

Additional Notifications and Assistance

The Client will receive an email notification once the media is processed, including a link to the deliverables. Further assistance for media management can be provided for an additional fee.

Area Preparation and Onsite Services

The Client must ensure all areas are prepared for capturing at the scheduled time. Delays or unprepared sites may incur additional charges.

Risk Assessment

The Client is responsible for ensuring the safety of the Service Provider’s staff during on-site services. A thorough risk assessment must be performed prior to any activity.

Additional Fees

Travel and accommodation fees may apply for remote locations. Additional services not initially agreed upon will be separately quoted and invoiced.

Client Representation and Indemnification

The Client is expected to be present at the start of the shoot to approve the work. The Client also indemnifies the Service Provider against any liabilities arising from the use of the provided services.

Modification of Terms

These Terms and Conditions may be amended without prior notice. Clients are advised to review them periodically.
